At Suntera, we approach each client relationship as a partnership, leveraging our expertise to propel you forward. From deciphering complex credit operating agreements to implementing an intricate waterfall calculation on our system, our team partners with private fund managers to ensure we get it right from the onset.
This case study is a private credit fund, and private credit funds by nature have many moving parts. Whether the opportunity is captured in an open- or closed-end fund structure, private credit strategies can prove difficult to execute accurately for the initiated fund administrator, regardless of size.
To execute we analyse every detail of the operating structure and every past transaction. In this case study, the fund is considered an operating company, not an investment company.
Each loan from the fund was issued with an Original Issue Discount (OID) that affected the amortisation.We specialise in being able to implement complex structures as described. Our approach is differentiated as many other fund administrators do not have such a deep credit bench, making ongoing service requirements a risky proposition for manager clients.
Suntera’s ability to anticipate difficulties, born of experience, saved the client future add-ons and manual manipulation, which would have increased their fee and reduced the accuracy and transparency delivered.
Six weeks after being hired, we published a two-and-a-half-year-old fund’s first audited financial statements with footnotes for optimal transparency.”

We read and understood the operating agreement, which, as complex as it was, would not have been easily decipherable for competitor teams devoid of ‘in-house’ credit fund experience.
We determined the appropriate system for fund books and records. At first, it appeared that the loans should drive system set up and selection, but in the end, the best decision was driven by our technology options. Our closed-end fund accounting system was chosen for this fund due to its flexibility with allocations.
This fund required keen attention to detail during the onboarding process to ensure it would operate correctly in perpetuity. Our understanding of this structure was deepened by back tracing the fund’s transactions into our system.
We received confirmation of set up and data accuracy from the fund’s auditor. Our thorough process provided transparency for everyone involved.

Taking a fund to IPO is a comprehensive process and managers need confidence their administrator will have the knowledge and expertise on all recognised global exchanges.
In 2016 we were introduced to Suntera from one of their existing US clients as we were keen to launch our first Guernsey fund with the intention of taking this to IPO on the London Stock Exchange. We wanted to work with a Guernsey based administrator who could work with us to set up the fund, assist us before obtaining a Listing, throughout the listing journey process and beyond whilst operating in as a listed fund.
In this case study, the client sought an experienced partner with the ability to provide a proactive and quality service throughout all stages of the funds lifecycle as it moved from a Regulated fund, with a pool of investors who were well known to the manager, through the complexities to achieve a listing on the Specialist Fund Segment of the London Stock Exchange and having the high-end Governance experience required to operate a listed Fund.

From inception we worked hard to build a strong partnership with the manager to ensure they had a positive experience of launching their first Guernsey fund and future flagship vehicle.
Understanding their end goal was to obtain a listing, we gave them Suntera’s dedicated listing team who worked closely with them and guided them through the early formation stages preparing and building processes and practices required as a listed company. We provided them with a highly experienced director of regulated and listed fund and corporate structures and this enabled us to work closely with manager and board in identifying and selecting new independent board members and helped to begin enacting many of the requirements that would need to be in place following listing.
During the listing application stage we worked very closely with all stakeholders and together produced the documentation, often requiring in-depth review in relatively tight timeframes, and this partnership approach from all parties resulted in a successful admission to the Specialist Fund Segment of the London Stock Exchange in early 2018.
Following this successful milestone we have continued to support the manager and board with committees and governance schedules in order to ensure all listing and governance requirements are met.
Our flexible and open approach with the client in laying much of the initial groundwork helped to make the transition from a private to listed fund as seamless as possible and has ensured it continues to operate smoothly in a much more demanding environment from a corporate governance and disclosures basis.
